1. Supplier eligibility and authority
Supplier must be a genuine manufacturer, wholesaler, distributor, trader or authorised business with the right to offer the listed goods. Supplier must be legally capable of supplying the products and must maintain all registrations, permissions, licences, tax registrations, product approvals and sector-specific certifications required for its activities.
Supplier warrants that the person creating or managing the account is authorised to act for the business. TIZARAT may request PAN, GSTIN, business address, bank-account proof, identity or other documents for verification and risk checks. Verification does not guarantee the supplier’s solvency, capability, quality or future conduct.
2. Supplier profile and catalogue duties
All business, contact, factory, shop, brand, product, price, MOQ, quantity, stock, delivery, quality, material, size, colour, country-of-origin, certificate and warranty information must be truthful, current, supportable and not misleading.
Supplier must own or have permission to use every photograph, logo, brand, catalogue, document and description uploaded. Supplier must not list counterfeit, stolen, restricted, prohibited, unsafe, recalled, misbranded or unlawfully sourced goods.
Supplier must update unavailable, discontinued, changed-price or changed-specification items promptly. A listing is an invitation to enquire, not a confirmed stock reservation or binding offer unless the supplier expressly confirms it.
3. Independent sale contract and fulfilment
Supplier alone prepares quotations, negotiates and accepts purchase orders, issues tax invoices, collects buyer payment, confirms stock, manufactures or sources goods, performs quality control, packs, dispatches, transports, insures, delivers, handles customs and taxes, and fulfils all warranties, replacements, returns and after-sales commitments.
Supplier is solely responsible for product safety, authenticity, description conformity, legal metrology/packaging labels, BIS or other mandatory standards, FSSAI or other sector-specific permissions, GST, e-way bills, invoices, labour and environmental compliance, and any recall or consumer-safety obligation that applies.
TIZARAT does not inspect or approve goods, hold title, receive the buyer’s purchase price, guarantee buyer creditworthiness, promise payment collection or guarantee that a buyer will complete a deal.
4. TIZARAT success-based fee
Where a buyer–supplier transaction is attributable to a lead or introduction generated through TIZARAT, supplier agrees to pay the platform success fee of 3% of the attributable deal value, subject to the fee schedule accepted and displayed for that account or lead.
The fee applies to the original transaction and repeat transactions with the same introduced buyer arising from the same TIZARAT-introduced Buyer–Supplier pair. The current platform does not configure an automatic time-based expiry for that pair; any future change must be displayed and accepted before it applies. A supplier must not avoid the fee by moving communication or payment off-platform, changing the purchase-order name, using an affiliate, related entity or intermediary, or splitting the order where the transaction is substantively connected to the TIZARAT introduction.
Supplier must accurately report deal confirmation and deal value within the time shown in the dashboard or invoice and pay the fee against TIZARAT’s invoice. The fee calculation base, tax treatment, due date and payment instructions must be visible before the supplier accepts the applicable fee-bearing lead or programme. TIZARAT’s fee is separate from the supplier’s sale proceeds.
5. Supplier-side Buyer contact unlock fee
Where a Supplier chooses to reveal a Buyer’s contact details for a specific Buyer Requirement or Product Lead, a separate fixed contact-unlock fee is payable for that lead/requirement. The current default amount is ₹50, subject to the exact amount displayed on the relevant lead screen before payment. This charge is for access to the Buyer contact only; it is separate from the 3% attributable-deal success fee, any monthly assigned-lead plan and any goods payment.
The contact is released only after the payment-verification process shown in the Supplier Portal is completed. A lead contact-unlock fee does not guarantee that the Buyer will respond, place an order, remain solvent or pay for goods. Supplier must independently qualify the Buyer and agree all sale terms directly.
6. Lead response and buyer data
Supplier must respond professionally, promptly and only in relation to the buyer’s stated requirement. Supplier must not misuse buyer contact details, sell or rent lead data, upload it to unrelated marketing lists, spam the buyer, or disclose it to an unauthorised third party.
Lead allocation is based on available information, category, location, seller preferences and system rules. Assignment is not a warranty of buyer intent, budget, solvency, accuracy, exclusivity or conversion. Supplier must independently qualify the buyer and verify requirements.
7. Advertising, plans and account action
Lead-plan and advertising fees are separate from the 3% success fee. Their price, duration, entitlement and applicable taxes are those shown at purchase or in the accepted plan. Paid placement is promotional visibility, not a guarantee of sales or ranking in organic results.
TIZARAT may reject or remove non-compliant listings, pause campaigns, restrict leads or suspend accounts for fraud, false information, non-payment of platform fees, infringement, safety concerns or breach of law. Supplier must preserve records of all transactions arising from TIZARAT leads.
8. Supplier indemnity and survival
Supplier shall defend and indemnify TIZARAT against third-party claims and reasonable costs arising from supplier’s products, manufacturing, sourcing, listings, representations, licences, taxes, sale contract, delivery, injury, infringement, data misuse or legal non-compliance, except to the extent caused by TIZARAT’s own non-excludable wrongdoing.
Clauses relating to success fees, attribution, records, intellectual property, privacy, indemnity and liability survive account closure to the extent necessary to resolve accrued matters and comply with law.
